Relationship Manager (M/F)

We are looking for a Client Relationship Manager to join our Corporate Secretarial team and act as the primary point of contact for a dedicated portfolio of clients operating in the Luxembourg fund environment.

The successful candidate will be responsible for ensuring a high-quality, responsive and coordinated service delivery across all internal departments involved in the client relationship, while also contributing to the day-to-day corporate secretarial administration of client entities.

The role combines client relationship management, service coordination and a practical corporate secretarial dimension, including the organisation of board and shareholder meetings, the preparation of corporate documentation and the follow-up of governance-related actions.

Job description

Corporate Secretarial and Governance Support

  • Support the day-to-day corporate secretarial administration of client entities, including Luxembourg fund and and fund-related structures.
  • Coordinate the organisation of board meetings, shareholders’ meetings, partners’ meetings and other governance-related meetings.
  • Prepare and/or review convening notices, agendas, attendance lists, proxies, minutes, written resolutions and other standard corporate documentation.
  • Ensure that corporate approvals, signatures and filing requirements are properly followed up and completed within the required timeframe.
  • Liaise with directors, managers, shareholders, partners, notaries, legal advisers, auditors and other stakeholders in relation to corporate governance matters.
  • Maintain an appropriate overview of each client’s governance calendar, recurring corporate obligations and key decision-making processes.
  • Ensure that corporate records, registers and supporting documentation are complete, accurate and properly maintained.
  • Escalate complex legal, governance or regulatory matters to the relevant Director, Partner or legal specialist where appropriate.

Service Delivery Coordination

  • Coordinate the work of internal teams involved in servicing the client, including fund accounting, transfer agency, tax compliance and other relevant departments.
  • Promote effective communication, collaboration and accountability among the teams involved in the client relationship.
  • Contribute to the continuous improvement of internal processes, workflows and service delivery standards.

Required Technical Skills

  • Good knowledge of the Luxembourg corporate, fund and regulatory environment.
  • Strong understanding of Luxembourg corporate governance, corporate secretarial and administrative processes.
  • Ability to prepare and coordinate standard corporate documentation, including board minutes, shareholders’ resolutions, written resolutions, powers of attorney, attendance lists and convening notices.
  • Sound knowledge of AML/KYC requirements applicable in Luxembourg.
  • Ability to understand and coordinate matters involving multiple internal and external stakeholders.
  • Ability to review, challenge and follow up on information received from clients, advisers and internal teams.
  • Strong organisational, prioritisation and project coordination skills.
  • Excellent analytical and problem-solving capabilities.

Education and Experience

  • Bachelor’s or Master’s degree in Business Administration, Finance, Economics, Law or another relevant field.
  • 3 to 8 years of relevant experience in Luxembourg fund administration environment.
  • Demonstrated experience in client relationship management or corporate secretarial administration.
  • Practical experience in the preparation of corporate documents.
  • Relevant professional certifications or training in Luxembourg fund administration, AML/KYC or corporate governance would be considered an advantage.
