Corporate Counsel, Executive Compensation – Corporate Governance

Responsibilities

• Advise on the design, implementation, administration, and governance of employee compensation, health and welfare, and retirement benefit plans.
• Provide legal support on executive and director compensation programs.
• Advise on 401(k) and welfare plan governance, fiduciary oversight, and related ERISA matters.
• Ensure compliance with ERISA, the Internal Revenue Code, ACA, HIPAA, COBRA, and other applicable laws and regulations.
• Monitor and interpret legislative and regulatory developments affecting compensation and benefits programs.
• Support M&A activity in close collaboration with Human Resources.
• Provide legal advice on compensation-related disclosure and corporate governance matters.
• Support Section 16 compliance.
• Advise on insider trading compliance.
• Assist with Nasdaq listing standards and corporate governance requirements.
• Advise on executive and equity compensation aspects of M&A activity.
• Supervise a paralegal supporting subsidiary management.
• Partner closely with Finance, Human Resources, payroll, tax, treasury, and accounting on global equity incentive plans.

Requirements

• Juris Doctor degree and in good standing to practice law in the applicable state.
• 8 years of relevant experience and education, including with a top-tier law firm.
• Sound legal and business judgment.
• Strong communication and interpersonal skills.
• Highly organized and detail‐oriented.
• Proactive problem‐solver.
• Strong project management skills.
• Ability to work effectively in a remote environment.
